Terms and Conditions

§ 1 Scope

These General Terms and Conditions apply to all contracts between ZahnFlow GmbH and its customers for the provision of automation services for dental practices.

§ 2 Subject of Contract

The subject of the contract is the development, implementation, and maintenance of automation solutions for dental practices. The exact scope of services results from the respective offer or service description.

§ 3 Conclusion of Contract

A contract is concluded by the written or electronic acceptance of an offer by the customer. Acceptance must be made within the period specified in the offer.

§ 4 Prices and Payment

Prices are in euros plus statutory VAT. Invoices are due for payment within 14 days of the invoice date without deduction.

For ongoing service contracts, billing is monthly in advance.

§ 5 Service Delivery

ZahnFlow provides the agreed services with the diligence of a prudent businessman. Performance dates are only binding if they have been expressly agreed as binding.

§ 6 Customer Cooperation Obligations

The customer provides ZahnFlow with all information, access, and materials required for service provision in a timely manner. Delays due to lack of customer cooperation are not the responsibility of ZahnFlow.

§ 7 Data Protection

ZahnFlow processes personal data exclusively in accordance with the provisions of the GDPR and BDSG. When processing patient data, a data processing agreement pursuant to Art. 28 GDPR is concluded.

§ 8 Confidentiality

Both parties undertake to treat all confidential information obtained during the cooperation as confidential indefinitely and not to disclose it to third parties.

§ 9 Liability

ZahnFlow is fully liable for damages resulting from injury to life, body, or health, as well as for damages caused intentionally or through gross negligence. For damages caused by slight negligence, ZahnFlow is only liable in case of breach of essential contractual obligations.

§ 10 Termination

Service contracts can be terminated with 3 months notice to the end of the month. The right to extraordinary termination for good cause remains unaffected.

§ 11 Final Provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction is Berlin.

Should individual provisions of these terms and conditions be invalid, the validity of the remaining provisions shall remain unaffected.
